Terms of Service

The agreement governing access to and use of docket.

Imprint Privacy Policy Terms of Service Data Processing Agreement Subprocessor List

Last updated: October 21, 2026

1. Introduction

These Terms of Service ("Terms") govern access to and use of docket, a cloud-based agency management platform provided by Evernow GmbH.

By creating an account, accessing the platform, clicking to accept these Terms, or otherwise using docket, you agree to be bound by these Terms.

If you use docket on behalf of a company, agency, organization, or other legal entity, you represent that you have authority to bind that entity. In that case, "Customer", "you", or "your" refers to that entity.

These Terms apply exclusively. Deviating, conflicting or supplementary terms of the Customer do not become part of the contract, even where we do not expressly object to them. The Customer can access, print and save these Terms at any time at docket.rocks/legal/terms.

The Data Processing Agreement (DPA) forms part of these Terms (section 24).

2. Provider

Evernow GmbH
Dreieichstraße 59
60486 Frankfurt am Main
Germany

Commercial Register: AG Frankfurt am Main, HRB 54195
VAT ID: DE220772379
Email: [email protected]

3. Contract Language

These Terms are available in German and English. The German version is binding; the English version is a convenience translation. In case of any discrepancy, the German version prevails.

4. Professional Use Only

docket is intended exclusively for professional and commercial use by businesses, agencies, freelancers, consultants, entrepreneurs, and similar professional users.

docket is not intended for private consumer use. By creating an account, you represent that you are acting for professional or commercial purposes and not as a consumer.

We may request information reasonably necessary to verify professional use, such as company name, business address, VAT information, website, professional email address, or other business-related information.

5. The Service

docket provides functionality for:

  • project management;
  • ticket management;
  • time tracking;
  • customer and contact management;
  • quotations;
  • invoices;
  • reporting;
  • file uploads and attachments;
  • internal collaboration;
  • optional integrations, including connections to AI apps that users connect themselves (section 25).

We may improve, modify, replace, or discontinue individual features from time to time, provided that we do not materially reduce the core functionality of paid subscriptions without reasonable notice.

6. Account Registration

To use docket, you must create an account and provide accurate, complete, and current information.

You are responsible for:

  • maintaining the confidentiality of login credentials;
  • managing users within your workspace;
  • assigning appropriate roles and permissions;
  • ensuring that only authorized users access your workspace;
  • all activity occurring under your account or workspace.

You must notify us without undue delay if you suspect unauthorized access or misuse.

The Customer keeps the email addresses of its administrators up to date. Notices provided for in these Terms or the DPA – such as price changes, new subprocessors or the end of the subscription – are sent to these addresses.

7. Administrators and Users

A workspace may have one or more administrators. Administrators may invite, create, manage, or remove user accounts and assign roles or permissions.

Customers are responsible for ensuring that all users comply with these Terms.

8. Beta Access and Free Trials

We may offer beta access, free trials, early access, evaluation periods, or promotional access.

Beta and trial services may be incomplete, unstable, unavailable, changed, or discontinued at any time. They are provided for testing and evaluation purposes and may contain errors.

docket is currently offered as a free public beta, which we plan to end in the first quarter of 2027. We will notify the administrators by email at least 30 days before the beta ends. To continue using docket after the beta, the customer must add a payment method. Workspaces created during the beta then pay the launch prices shown on our pricing page; these prices are guaranteed for 12 months from the start of the paid subscription and are excluded from price changes under section 9 during that time. If no payment method has been added when the beta ends, the subscription ends and section 20 (export and deletion) applies.

Unless otherwise stated, workspaces created after the beta start with a free trial of 14 days, for which no payment method has to be added. If the Customer has not added a payment method by the end of the trial, the subscription ends and section 20 (export and deletion) applies.

We may require payment information before or during a trial. If a paid subscription starts automatically after a trial, we will provide relevant information during signup or checkout.

9. Subscription Plans and Pricing

docket may be offered under different subscription plans, including seat-based or role-based pricing.

Current prices, features, and plan details are displayed on our pricing page, in the checkout flow, or in an applicable order form.

We may change prices for future billing periods, except for the launch prices guaranteed for workspaces created during the beta for 12 months from the start of their paid subscription (section 8). Price changes will not affect the then-current billing period and will apply only to future billing periods. We will notify account administrators of material price changes by email, in-app notice, or another reasonable method at least 30 days before the change takes effect. If you do not agree to a price change, you may cancel your subscription before the price change becomes effective.

Fees are based on the number of active users per role in the workspace. A user counts as active when created in the workspace and not archived; archived users are not charged. When the Customer adds users, archives them or changes their role, docket continuously aligns the count with the subscription; changes are reflected pro rata in the current billing period from the moment of the change.

10. Billing and Payment

Payments are processed via Stripe by credit card or other payment methods made available in the checkout process.

By entering payment details, you authorize recurring charges for the selected subscription unless and until the subscription is cancelled.

Unless otherwise stated:

  • fees are billed in advance;
  • subscriptions renew automatically;
  • charges are non-refundable except where required by law or expressly agreed otherwise;
  • taxes, duties, and similar charges are the customer's responsibility unless included in the displayed price.

We currently do not offer payment by manual invoice as part of the standard self-service subscription flow.

11. Cancellation

The Customer can cancel its subscription at any time: in the application through the billing portal (Administration) or in text form by email to [email protected].

The subscription has no minimum term. It is billed monthly and renews for a further month unless cancelled. Cancellation takes effect at the end of the current billing period.

The Customer may continue using the Service until the cancellation takes effect. When it takes effect, the subscription ends; afterwards only the export described in section 20 remains available, for 30 days.

We may terminate the subscription with one month's notice to the end of a billing period. Both parties' right to terminate for cause (section 27) remains unaffected.

12. Late or Failed Payments

If payment fails or cannot be collected, we may notify the account administrator and retry payment.

If payment remains outstanding, we may suspend or terminate access to the service after reasonable notice.

Otherwise, the statutory consequences of default apply.

13. Customer Data

Customer retains all rights, title, and interest in Customer Data.

"Customer Data" means data, files, content, personal data, and other information submitted to, uploaded to, generated in, or stored in docket by or on behalf of the customer.

Customer grants Evernow GmbH a limited, non-exclusive, worldwide right to host, store, process, transmit, display, copy, backup, and otherwise use Customer Data solely as necessary to:

  • provide the service;
  • maintain and secure the service;
  • provide support;
  • comply with legal obligations;
  • perform processing under the DPA;
  • exchange Customer Data with integrations and AI apps that the customer or its users connect.

14. Customer Responsibilities

Customer is responsible for:

  • the legality, accuracy, and quality of Customer Data;
  • obtaining all required rights, permissions, and legal bases;
  • ensuring that Customer Data may lawfully be processed in docket;
  • configuring user roles and permissions;
  • ensuring users comply with applicable laws;
  • reviewing AI-generated outputs before use;
  • ensuring that invoices, quotations, time entries, and financial records are accurate before relying on them.

Where the Customer processes personal data of its employees, freelancers or other persons in docket – such as their time entries, which administrators and project managers can view per project and ticket – the Customer is responsible for informing these persons under Art. 13 and 14 GDPR, ensuring a legal basis and observing any co-determination rights.

15. Special Categories of Personal Data

docket is not designed for the intentional processing of special categories of personal data such as health data, religious beliefs, political opinions, trade union membership, genetic data, biometric data for identification, or data concerning sex life or sexual orientation.

Because docket includes free-text fields and file uploads, users may technically enter such data. Customers may only do so where they have a valid legal basis and implement appropriate safeguards.

16. AI Features

docket currently has no AI features of its own. Users can connect their own AI apps to docket (section 25); those apps read and, within the user's permissions, book or change data in docket on the user's instructions.

AI apps connected to docket, and any AI features we may add in the future, are assistive tools only.

AI-generated outputs may be inaccurate, incomplete, outdated, biased, or unexpected. Customer and users are responsible for independently reviewing and validating AI outputs before using them.

AI outputs should not be treated as legal, tax, accounting, financial, or professional advice.

Customer Data is not used by Evernow GmbH to train AI models unless explicitly agreed otherwise.

17. Acceptable Use

You must not:

  • use the service unlawfully;
  • upload malware or harmful code;
  • attack, disrupt, overload, or impair the service;
  • attempt unauthorized access;
  • access or attempt to access another customer's data;
  • circumvent security or usage limits;
  • reverse engineer, decompile, or attempt to derive source code except where permitted by mandatory law;
  • use the service to infringe third-party rights;
  • upload content that is unlawful, defamatory, fraudulent, or violates third-party confidentiality obligations;
  • use the service in violation of export control or sanctions laws.

18. Service Availability

We use commercially reasonable efforts to operate docket reliably.

We do not provide a guaranteed uptime, service level agreement, response time, or availability commitment unless expressly agreed in a separate written agreement.

The service may be unavailable due to:

  • maintenance;
  • updates;
  • errors;
  • security incidents;
  • infrastructure failures;
  • third-party service failures;
  • force majeure events.

Where planned maintenance is expected to interrupt the Service for longer, we announce it in advance in the application or by email to the administrators where possible, and schedule it at times of low usage.

19. Support

Standard support is provided on a best-effort basis, typically via email or other support channels made available by us.

We do not guarantee specific response or resolution times unless expressly agreed separately.

20. Data Export and Deletion

Administrators can download a complete export of the workspace at any time: a ZIP file with all data as CSV and JSON files, the PDFs of all issued documents (such as quotations and invoices), and all uploaded files. The export is free of charge.

We back up the database daily; backups are kept for 10 days. Data the Customer needs outside docket, it secures itself through exports.

When the subscription ends, the workspace's administrators can still sign in for 30 days, solely to download this export; all other users are signed out. Before the workspace is deleted, the administrators receive a reminder email.

30 days after the subscription ends, we delete the workspace and all Customer Data in it completely. Backups are kept for 10 days, so the deleted data is also gone from the backups no more than 10 days later.

The customer is responsible for exporting any data it needs to keep, for example under its own statutory retention obligations, before the workspace is deleted. Our own statutory retention obligations remain unaffected.

21. Confidentiality

Each party shall keep confidential information received from the other party confidential and protect it using reasonable care.

Confidential information includes non-public business, technical, financial, product, security, and customer information.

Confidentiality obligations do not apply to information that:

  • is publicly known without breach;
  • was lawfully known before disclosure;
  • is independently developed without use of confidential information;
  • must be disclosed by law, court order, or authority.

We name the Customer as a reference, for example with its name or logo on our website, only with its prior consent in text form.

22. Intellectual Property

Evernow GmbH and its licensors retain all rights in and to the service, software, code, infrastructure, user interface, designs, trademarks, documentation, technology, and related intellectual property.

These Terms do not grant any rights except the limited right to use the service in accordance with these Terms.

For the term of the contract, the Customer receives the simple, non-exclusive, non-transferable and non-sublicensable right to use the Service for its own business purposes through the interface and APIs provided. The software itself is not handed over.

23. Feedback

If you provide feedback, suggestions, ideas, or improvement proposals, you grant us the right to use them without restriction and without compensation.

24. Data Protection

Where Evernow GmbH processes personal data on behalf of the Customer, the Data Processing Agreement (DPA) applies. It forms part of these Terms and is concluded upon their acceptance; no separate signature is required.

The Customer remains responsible for assessing whether docket is suitable for the processing activities it intends.

25. Third-Party Services

The service depends on third-party providers, including hosting, storage, payment, email, monitoring, and infrastructure providers.

We are not responsible for third-party services outside our reasonable control, but we select providers with appropriate care and maintain agreements where required.

The service also offers optional integrations with services that customers use themselves, such as Atlassian Jira Cloud, Tempo Timesheets and AI apps connected through the Model Context Protocol (for example Claude or ChatGPT). Integrations are never active by default; they require manual setup by the customer's administrator and users. AI apps act on a user's instructions and may make mistakes; the customer remains responsible for reviewing what they book or change. Once set up, docket exchanges the customer's data with these services as configured. The customer is responsible for having the right to connect them, for its own agreement with their providers, and for how those providers handle the data. Evernow GmbH is not responsible for the availability or conduct of these services.

26. Suspension

We may suspend access to the service if reasonably necessary to:

  • protect the service or other customers;
  • prevent unauthorized access or abuse;
  • respond to security incidents;
  • comply with legal requirements;
  • address non-payment;
  • enforce these Terms.

Where reasonable, we will provide notice and an opportunity to remedy before suspension.

27. Termination for Cause

Either party may terminate for material breach if the breach is not cured within a reasonable period after notice.

We may terminate immediately where continued use would create legal, security, or operational risk.

28. Warranty and Defects

We provide docket with the functionality described in the application and the documentation. The Customer reports defects without undue delay to [email protected], describing them so that we can reproduce them.

We remedy defects within a reasonable time, including through workarounds, provided the core benefit is preserved. If a material defect is not remedied within a reasonable period, the Customer may reduce the fee appropriately for the period of impairment or terminate for cause (section 27).

Strict liability for defects that already existed at the time the contract was concluded (section 536a(1) German Civil Code) is excluded.

We do not warrant that the Service runs without interruption or error, or that it is fit for a particular purpose we have not promised. The Customer remains responsible for the results it produces with docket – such as quotes, invoices or reports (section 14).

Beta and trial services and the free public beta (section 8) are provided free of charge. For them we are liable only under section 29, first paragraph (intent, gross negligence, injury to life, body or health); we give no warranty for particular features or availability for them.

29. Limitation of Liability

We are liable without limitation for intent and gross negligence, for damage resulting from injury to life, body or health, under the German Product Liability Act, for fraudulently concealed defects and to the extent of a guarantee we have given.

In cases of slight negligence we are liable only for the breach of essential contractual obligations, i.e. obligations whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance the Customer may regularly rely. In that case, liability is limited to the typical damage foreseeable at the time the contract was concluded, and in total to the fees the Customer paid for the Service in the twelve months preceding the event giving rise to the claim.

For loss of data we are liable, within the preceding paragraphs, only for the effort required to restore the data from our backups (section 20) and from the exports available to the Customer at any time.

The above limitations also apply to the personal liability of our employees, representatives and agents. Section 28 applies to beta and trial services provided free of charge.

These limitations apply to claims under the DPA unless mandatory data protection law provides otherwise.

30. Indemnity

Customer shall indemnify Evernow GmbH against third-party claims arising from unlawful Customer Data, customer's breach of these Terms, or customer's unlawful use of the service, to the extent legally permissible.

31. Force Majeure

Neither party shall be liable for failure or delay caused by events beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, internet outages, infrastructure failures, government actions, cyberattacks, or third-party provider outages.

32. Changes to These Terms

We may amend these Terms with effect for the future where this is necessary to adapt them

  • to changes in law or case law,
  • to changes at our subprocessors or in the technical infrastructure, or
  • to new or changed features of the Service, provided the amendment does not restrict the principal obligations.

Not amended this way are prices and fees (section 9 applies), the scope of the principal service, term and cancellation, liability, and the balance between performance and consideration; such changes require the Customer's express consent.

We announce amendments to the administrators by email at least 30 days before they take effect, showing the amended provisions side by side. If the Customer does not object in text form or cancel before they take effect, the amended Terms are deemed accepted; we point out this consequence and the Customer's right to object and cancel separately in the notice. If the Customer objects, the contract continues under the previous Terms; both parties may then terminate it as of the date the amendment takes effect.

33. Assignment

Customer may not assign or transfer these Terms without our prior consent in text form, except in connection with a merger, acquisition, or sale of substantially all assets, provided that the assignee assumes the obligations under these Terms.

34. Severability

If any provision of these Terms is invalid or unenforceable, the remaining provisions remain effective.

35. Governing Law

These Terms are governed by the laws of Germany, excluding conflict of law rules.

36. Jurisdiction

If the Customer is a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from or in connection with these Terms is Frankfurt am Main, Germany. We remain entitled to sue the Customer at its general place of jurisdiction.
